Joint venture in China means forced tech transfers

Under pressure from the Beijing government General Motors has agreed to provide access to its proprietary electric vehicle technology to its lead Chinese partner.

BYD's net profit per car has declined over the last 12 months to the equivalent of $739, according to analysis from CLSA as of the first quarter. Tesla's has dropped to $2,919, the data showed.

The EV industry in the last year has faced an intense price war, with car companies either slashing prices or launching lower-priced product lines.




“We are delighted to have signed this joint venture agreement with Zotye to form our third joint venture automotive company in China. Subject to regulatory approval, Zotye Ford will introduce a new brand family of small all-electric vehicles," Fleet said. "We will be exploring innovative vehicle connectivity and mobility service solutions for a new generation of young city-dwelling Chinese customers."

In addition to the new JV, Ford and Zotye will explore offering mobility services to consumers in China as local demand for such solutions continues to grow.

Through this new JV, Ford commits to actively support the advancement of a more environmentally sustainable auto industry in China through local research and development as well as domestic production of all-electric vehicles.

Zotye Auto is a pioneer in the Chinese all-electric vehicle segment. It is the market leader in China’s all-electric small vehicle segment and sold more than 22,500 all-electric vehicles year-to-date through October, representing a growth of over 14 percent year-over-year. The JV will benefit from Zotye’s expertise in designing and commercializing EVs in China, and Ford’s global product development and technology capabilities.

“This is an important day for Zotye as we partner with Ford to help advance the growth of the Chinese auto industry,” said Zotye’s Ying. “We will work closely together to help meet Chinese consumers’ growing demand for electric vehicles.”

Upon its establishment, the new JV will expand Ford’s footprint in China. Ford already operates successful vehicle joint ventures with Changan Ford Automobile Corporation, Ltd. and Jiangling Motors Corporation. Ford will continue working closely with its JV partners to develop and manufacture New Energy Vehicles to meet rising consumer demand in China during the impending electrification phase of the Chinese auto industry.

Volkswagen expects to begin producing battery-powered vehicles with its joint venture partner Anhui Jianghuai Automobile, or JAC, in 2018. Mr Heizmann denied that the German carmaker would have to transfer significant technology to JAC in order to do so. “Where we are developing pure battery cars together, combining what we can use from JAC, we are as well in a learning process with them,” he said.

These efforts are often made at the direction of and with assistance from the Chinese government, part of Beijing’s larger effort to develop its domestic market and become a global leader in a wide range of technologies. Removal of JV requirements may not significantly curb knowledge spillover to China’s domestic firms. Though China’s government lifted the foreign ownership cap and JV requirements in the auto industry amid recent trade tensions with the U.S., this study’s findings indicate that the policy change may not significantly affect the quality upgrades of China’s domestic automakers. China still imposes JV requirements in other industries. The findings of this study suggest removal of these requirements alone may not significantly stem knowledge spillover to domestic firms.

And this is what happened with Tesla.

China agreed to make special concessions to convince Tesla to build a plant in China. China changed its rules to allow the Shanghai Gigafactory to be a wholly foreign-owned subsidiary rather than a joint venture with a Chinese firm, as was previously required for all foreign automakers. China also changed its emissions regulations to allow Tesla to sell hundreds of millions of dollars of carbon credits to other automakers. Shanghai’s top leader at the time, Li Qiang, who is now China’s premier and number two leader, helped Tesla get over $1.5 billion in concessionary loans from Chinese state banks.

Local Shanghai officials fast-tracked the construction of the Shanghai Gigafactory, helping Tesla build the entire plant in under a year. To make it happen, they helped Tesla get land, environmental permits, and access to electricity. (Notice the combination of both national-level support and local government support in China.)

Tesla benefited enormously from its Shanghai Gigafactory, which now produces more than half of all Tesla vehicles and helped save the company from the verge of bankruptcy. But this deal also benefited China’s own domestic EV industry by building up Chinese suppliers, such as Chinese battery giant CATL.

The case of LK Group serves as a striking example. Tesla worked with LK Group, a Chinese maker of manufacturing equipment, to produce gigantic casting machines for what Tesla calls “gigacasting.” These casting machines allow Tesla to manufacture large auto components as a single continuous piece, which saves time, factory space, labor, and materials that would normally be needed to weld together many separate pieces. LK Group then went on to sell similar “gigacasting” machines to six Chinese firms, likely other automakers.

Today, 95% of the components used in Tesla’s Shanghai Gigafactory are from China, and Chinese firms make up almost 40% of Tesla’s global EV battery supply chain.


To be sure, the success of China’s EV industry today is due to a wide range of factors, including decades of supportive government policies and deep expertise in core battery technology. But Tesla’s plant in China helped to turbocharge its domestic industry, creating not only jobs for Chinese workers at the Shanghai Gigafactory but also an upgraded supplier ecosystem for China’s own homegrown EV brands. As reported in a recent New York Times piece:


“There’s Before Tesla and After Tesla,” said Michael Dunne, an auto consultant and a former General Motors executive in Asia, about the company’s effect on Chinese industry. “Tesla was the rainmaker.”


EVs are not a Chinese invention, yet China’s industrial prowess has transformed these technological breakthroughs into cost-efficient products. In 2014, Musk made Tesla’s patents, including 51 design patents and 935 invention patents, openly accessible. While all EV makers have had access to these patents, they appear to have catalyzed significant advancements primarily in China.

The government’s early involvement, particularly through policies and subsidies aimed at stimulating R&D, technological standardization, and environmentally sustainable solutions, has greatly accelerated the production and adoption of EVs in China.

So, essentially, Tesla’s patents are only free to use if: you do not enforce any right against Tesla, you do not enforce any patent right against another party, you do not oppose Tesla’s patents or copy Tesla’s designs.

Using Tesla’s technology would essentially make any other company’s own intellectual property rights redundant. On the other hand, Tesla benefits from the arrangement because it appears that Tesla is free to use any improvements made to its technology by another party.

The European Commission has rejected offers by Chinese electric-vehicle makers to adjust their prices in a bid to avoid sharply higher tariffs ahead of potentially pivotal talks between Beijing and Brussels next week.The tariffs were announced after a months-long probe launched by commission president Ursula von der Leyen that sharply increased trade tensions between the 27-member bloc and China, the world’s second-biggest economy.EU officials have said the tariffs are needed to protect European manufacturers from being undercut by low-cost, China-made EVs that it says are unfairly subsidised by Beijing.
